Terms of Service

These terms are the agreement between you and [LEGAL ENTITY NAME], [CNPJ] ("we", "us") for the use of Koti. By creating an account you accept them.

1. What Koti is

Koti is a macOS application: a spatial terminal workspace for running command-line agents, grouped by working directory. We licence it to you; we do not sell it to you.

2. Your account

You need an account to use Koti. You are responsible for what happens under it and for keeping access to the email address it is tied to. One account is for one person — you may install Koti on as many of your own machines as you like, but you may not share an account with someone else.

3. Free trial

New accounts get 30 days of the complete application, free, with nothing withheld. We do not ask for a payment method to start it.

One trial per machine. When you first sign in, Koti records a one-way hash of a hardware identifier for your Mac. If that machine has already had a trial, the trial is refused — including under a different account. This is deliberate and it is how we can afford to give the whole product away for a month.

If you think a trial has been refused wrongly — a repaired logic board and a genuinely new machine can both do it — write to support@koti.so and we will sort it out.

When the trial ends and you have not subscribed, Koti stops working. Nothing you made is taken from you: your files are your files, and Koti's own scrollback stays in a plain-text directory on your Mac that you can read without us.

4. Subscriptions and payment

Paddle.com Market Ltd is the merchant of record for all orders. Paddle is the seller, handles payment, and is responsible for charging and remitting any applicable sales tax or VAT. Your purchase is therefore also subject to Paddle's own terms, and refunds and billing questions go through Paddle's checkout and customer portal.

Subscriptions renew automatically at the interval you chose until you cancel. You can cancel at any time and keep access until the end of the period you have already paid for — we do not cut you off mid-month for cancelling.

We may change prices. If we do, we will tell you before it affects a renewal, and the new price never applies to a period you have already paid for.

5. Referrals

Where we offer credit for referring someone, it is granted only for genuine sign-ups by people who actually use the product. We may withhold credit for referrals that appear to be self-dealing or automated, and we will say so if we do.

6. Acceptable use

You agree not to:

Koti runs whatever you tell it to run. You are responsible for the commands and agents you execute in it, and for anything they do to your machine or anyone else's.

7. Third-party agents and services

Koti launches command-line agents and other software it did not write — Claude Code, Codex and others — and can display third-party websites. Your use of those is governed by their terms, not these, and we are not responsible for them or for what they cost you.

8. Availability

We do not promise the service will be uninterrupted. Because a lapse on our side should not lock you out of software you have paid for, Koti keeps working offline for a grace period after its last successful check.

9. Ending the agreement

You may stop using Koti and delete your account at any time. We may suspend or terminate an account that breaks section 6, or that we are legally required to act on. If we terminate an account that has done nothing wrong, we will refund the unused part of the period you paid for.

10. Warranties and liability

Koti is provided "as is", without warranties beyond those that cannot be excluded by law. Nothing in these terms limits any right you have as a consumer under the Brazilian Consumer Protection Code (Lei nº 8.078/1990) or equivalent law where you live.

Subject to that, our total liability for any claim relating to Koti is limited to the amount you paid us in the twelve months before the claim, and we are not liable for indirect or consequential loss — including lost data, lost profit, or work performed by an agent you ran.

11. Changes

We may update these terms. If a change is material we will tell you by email and ask you to accept the new version; the version you accepted is recorded against your account.

12. Governing law

These terms are governed by the laws of Brazil, and the courts of [CITY / STATE] have jurisdiction — except where the law where you live gives you the right to bring a claim in your own courts, which it may.
